Future Machine rights issue undersubscribed, compensatory plans detailed

Future Machine Limited's rights issue, which closed on Friday, September 26, 2025, received valid applications for 309,154,310 shares out of a maximum of 500,000,000 offered. This represents an acceptance rate of approximately 61.83%, leaving 190,845,690 shares, or 38.17% of the total, unsubscribed.

These unsubscribed shares will now be subject to compensatory arrangements. The company has appointed a placing agent to dispose of these "placing shares" to independent placees on a best-effort basis, with any premium over the subscription price to be paid pro-rata to "no action shareholders" and "non-qualifying shareholders."

Shareholders are cautioned regarding the risks of dealing in the shares, as the rights issue is conditional and may not proceed if conditions are not met. Further announcements, including the results of the placing and net gain per placing share, are expected by Monday, November 10, 2025. Amounts of less than HK$100 from any net gain will be retained by the company.
