Sheng Ye Capital increases issued share capital by 56m shares

Sheng Ye Capital Group Limited (HKEX:6069) reported a notable increase in its total issued shares for the month ended September 30, 2025. The company’s total number of issued shares, including treasury shares, rose from 1,009,039,792 at the beginning of September to 1,065,325,792 at the end of the month, an increase of 56,286,000 shares. This growth primarily stemmed from a placing/subscription of new shares on September 10, 2025, priced at HK$10.66 per share.

The placement of 56,286,000 ordinary shares was conducted with a General Meeting approval date of May 16, 2025. As a result, the number of issued shares (excluding treasury shares) also increased by 56,286,000, bringing the total to 1,064,804,792. The number of treasury shares remained constant at 521,000 throughout the month. The company's authorised/registered share capital remained unchanged at 5,000,000,000 shares with a par value of HK$0.01 per share, totaling HK$50,000,000.

In addition to the new share placement, Sheng Ye Capital also has two active share option schemes. The first, adopted on June 19, 2017, has 3,550,000 options outstanding, with 3,550,000 shares available for issuance upon exercise. The second scheme, adopted on May 21, 2024, has 579,501 options outstanding, with 98,395,499 shares available for future grants and exercise. No options were exercised during the month.
