Fuyao Glass expands board, appoints employee representative director

Fuyao Glass Industry Group Co., Ltd. (HKEX:3606) has expanded its Board of Directors from nine to eleven members, following approval of amendments to its Articles of Association at an extraordinary general meeting on September 16, 2025. This change includes the creation of an employee representative director position, democratically elected by the company's employees. Concurrently, the Board of Supervisors and all supervisors have been eliminated.

On September 29, 2025, Ms. Zhang Haiyan, 44, was elected as the employee representative director for the eleventh session of the Board. Ms. Zhang, who joined the company in July 2004, has served as human resources director for Automobile Glass Group and General Group since May 2018. Her previous experience includes human resources director at Fujian Triplex Group Holdings Co., Ltd. and human resources manager at Fujian Wanda Automobile Glass Industry Co., Ltd.

The newly constituted Board comprises five executive directors, two non-executive directors, and four independent non-executive directors. Ms. Zhang Haiyan will receive annual remuneration based on her management position, working experience, and duties, including basic salaries, performance bonuses, and allowances, with the specific amount to be disclosed in the company's annual report.
