Red Star Macalline expands contract management, revises annual caps

Red Star Macalline Group Corporation Ltd. has entered into a supplemental contract management agreement with Shaanxi Hongrui to provide contract management services from September 30, 2025, to September 29, 2026. This agreement involves a fixed annual management fee of RMB1.50 million, with fees for the period calculated on a pro-rata basis. The services will cover a gross floor area of 142,080.38 square meters at No. 688 Beichen Road, Weiyang District, Xi'an City, Shaanxi Province, PRC.

The new agreement has led to a revision of the total annual caps for Contract Management Transactions. The total annual cap for the year ending December 31, 2025, will increase from RMB12.78 million to RMB13.16 million. For the year ending December 31, 2026, the total annual cap will rise from RMB2.18 million to RMB3.31 million.

Given that one or more applicable percentage ratios for the proposed new annual caps, on an aggregated basis, are above 0.1% but below 5%, the transactions are subject to annual review, reporting, and announcement requirements under Listing Rule 14A.76. They are exempt from circular and independent shareholders' approval requirements.
