Sino Hotels to amend articles, names new chairman

Sino Hotels (Holdings) Limited announced a proposal to amend its memorandum and articles of association to facilitate electronic dissemination of corporate communications, aligning with recent listing rule changes. Shareholders will vote on these proposed amendments via special resolution at the annual general meeting (AGM) scheduled for 22nd October, 2025. A circular detailing these changes will be dispatched on 26th September, 2025.

Concurrently, the company is preparing for a leadership change. Robert Ng Chee Siong will retire as chairman and executive director on 31st August, 2025. Daryl Ng Win Kong, currently deputy chairman, has been proposed and elected by the board to succeed him as chairman, effective 31st August, 2025.

Additionally, Rock Chen Chung-nin has been appointed as an independent non-executive director, effective 1st July, 2025, following the retirement of Steven Ong Kay Eng. Hung Wai Man, Daryl Ng Win Kong, and Rock Chen Chung-nin will offer themselves for re-election at the forthcoming AGM.
