Jinke Smart Services announces director and supervisor resignations

Jinke Smart Services Group announced the resignation of Mr. Shi Cheng as a non-executive director and audit committee member, effective September 24, 2025. This change is due to changes in work arrangements. The company applied for and received consent for this resignation, as the offeror was a controlling shareholder and Mr. Shi Cheng was not part of the independent board committee.

Concurrently, Mr. Luo Ruifeng resigned as a supervisor from the supervisory committee, effective September 19, 2025, also due to changed work arrangements. His resignation will take effect after a new supervisor is elected, as his departure would otherwise cause the number of supervisors to fall below the quorum. Mr. Luo Ruifeng will continue his duties until a replacement is elected.

The current board of directors comprises Mr. Xia Shaofei as executive director and chairman, Mr. Wu Xiaoli, Ms. Lin Ke, and Mr. Qi Shihao as non-executive directors, and Ms. Yuan Lin, Ms. Xiao Huilin, and Mr. Tung Woon Cheung Eric as independent non-executive directors. Mr. Xia Shaofei also chairs the environmental, social and governance committee, while Mr. Tung Woon Cheung Eric chairs the audit committee.
