ENN Energy updates share capital after options exercised

ENN Energy Holdings Limited announced an update to its number of relevant securities, following the exercise of 1,000 ENN share options on September 24, 2025. These options were granted under the ENN 2012 Share Option Scheme, resulting in the issue of 1,000 new ENN shares.

After this exercise, ENN Energy's relevant securities now comprise 1,131,254,275 ENN shares in issue. Additionally, there are 5,374,026 ENN share options, which entitle holders to subscribe for an equivalent number of new shares, and 259,000 ENN share awards, which are not convertible into ENN shares.

This disclosure is made pursuant to Rule 3.8 of the Hong Kong Code on Takeovers and Mergers and relates to a pre-conditional proposal by the offeror to privatize ENN Energy via a scheme of arrangement. Shareholders and potential investors are advised to exercise caution due to the conditional nature of the proposal.
