WuXi AppTec shareholders approve supervisory committee cancellation, governance changes

WuXi AppTec Co., Ltd. held its extraordinary general meeting (EGM) on September 23, 2025, where shareholders approved all proposed resolutions. Key outcomes include the cancellation of the supervisory committee and corresponding amendments to the articles of association, which took immediate effect. The decision to cancel the supervisory committee was approved by 99.9493% of votes, leading to the retirement of Mr. Harry Liang He, Mr. Baiyang Wu, and Ms. Minfang Zhu as supervisors.

The EGM also saw the approval of various amendments to internal policies, including the work policies of independent directors, rules for the implementation of cumulative voting, and management measures on raised funds, all passed with an overwhelming majority. Shareholders also approved the company's authorization to its investment department to dispose of trading shares of listed companies.

All directors attended the EGM, which was conducted via on-site and online voting, reflecting broad shareholder participation. Fangda Partners and Deloitte Touche Tohmatsu attested to the EGM's lawful procedures and valid resolutions.
