Yantai North Andre Juice to abolish board of supervisors

Yantai North Andre Juice Co., Ltd. proposes to abolish its board of supervisors and amend its articles of association in accordance with the newly revised Company Law of the People's Republic of China and other regulations. Key functions and powers of the board of supervisors will be transferred to the company's audit committee. These amendments require approval by a special resolution at the 2025 second extraordinary general meeting.

Concurrently, the company plans extensive amendments and formulations to various internal systems, including those governing general meetings, board of directors, independent directors, and external guarantees. Resolutions on these system changes will also be presented for shareholder approval at the EGM, with some requiring special resolutions and others ordinary resolutions.

In a separate development, Ms. Wang Yan has been appointed as a member of the nomination committee as of September 22, 2025, while Mr. Wang Chang Qing will step down from the committee.
