Dynagreen shareholders approve key resolutions, governance amendments

Dynagreen Environmental Protection Group Co., Ltd. confirmed that all resolutions proposed at its Extraordinary General Meeting (EGM), A Shares Class Meeting, and H Shares Class Meeting, held on September 19, 2025, were duly passed by poll. Key special resolutions included amendments to the articles of association, the rules of procedures for general meeting, and the rules of procedures for board meeting.

The EGM saw 855,473,600 shares with voting rights cast, representing 61.3923% of the total shares. The resolution to amend the articles of association passed with 97.5561% of votes in favor, while amendments to the rules of procedures for general meeting and board meeting received 97.4984% and 99.5221% in favor, respectively. An ordinary resolution concerning the interim profit distribution plan for 2025 also passed with 99.8193% of votes.

Beijing Kangda Law Firm, as the legal advisor, confirmed that the convening and holding of the meetings, as well as the voting results, were in compliance with relevant laws and regulations.
