Tianjin Capital Environmental Protection inks water recycling EPC deals

Tianjin Capital Environmental Protection Group Company Limited's wholly-owned subsidiary, Water Recycling Company, has entered into two continuing connected transaction agreements for the 2025 reclaimed water supporting construction EPC project. The First Tender Section First Batch Agreement, effective from September 11, 2025, to December 31, 2027, involves Chengtou Architectural and Expressway Construction providing EPC services for 25 sub-projects, with total service fees of RMB16,117,443. This includes RMB540,519 for design and RMB15,576,924 for construction and installation.

The Second Tender Section First Batch Agreement, also effective from September 11, 2025, to December 31, 2027, commissions Huamiao Planning and Expressway Construction for EPC services on six sub-projects. The total service fees for this agreement are RMB1,492,355, comprising RMB50,048 for design and RMB1,442,307 for construction and installation. Both agreements involve connected persons, as Expressway Construction is an indirect wholly-owned subsidiary of Tianjin Infrastructure Construction, and Huamiao Planning is a subsidiary of a 30%-controlled company of Tianjin Infrastructure Construction.

Annual caps for the aggregated transactions are set at RMB4.85m for the financial year ending December 31, 2025, RMB9.65m for 2026, and RMB8.35m for 2027. These transactions are subject to reporting and announcement requirements but are exempt from independent shareholders’ approval.
