Linklogis extends cloud services deal with Tencent Cloud

Linklogis Inc., through its Consolidated Affiliated Entity Huanrong Lianyi Technology, has entered into a new Cloud Services Agreement with Tencent Cloud, effective from January 1, 2026, to December 31, 2026. Under the agreement, Tencent Cloud will provide cloud and other cloud-related technical services for a fee. Tencent Cloud is considered a connected person as an associate of Tencent, a substantial shareholder of Linklogis. The transactions are classified as continuing connected transactions.

The annual cap for the transaction amount for the year ending December 31, 2026, is set at RMB6.0 million. This cap was determined based on historical transaction amounts, anticipated business development demand for cloud services, and cost reduction measures. Historically, service fees for cloud services amounted to approximately RMB5.8 million for 2023, RMB5.4 million for 2024, and RMB2.4 million for the first seven months of 2025.

The applicable percentage ratios for this agreement exceed 0.1% but are less than 5%, subjecting it to reporting, announcement, and annual review requirements under Chapter 14A of the Listing Rules. The board of directors, excluding Mr. Lin Haifeng who abstained due to his positions in Tencent, views these transactions as being on normal commercial terms, fair, and reasonable.
