Moon Inc. to launch tender offer in Thailand

Moon Inc. has announced a discloseable transaction involving its direct, wholly-owned subsidiary, the Purchaser, to acquire Tender Offer Securities through a tender offer in Thailand. On July 3, 2025, Moon Inc. disclosed intentions to acquire all Tender Offer Securities, with the Purchaser potentially being allocated Purchaser Tender Shares representing approximately 19.09% of DV8's total issued capital, and Purchaser Tender Warrants representing 19.09% of issued, unexercised target warrants. The total purchase consideration could reach THB141,660,000, comprising THB141,083,000 for shares and THB577,000 for warrants. The offer price is THB0.56 per Tender Offer Share and THB0.01 per Tender Offer Warrant. The tender offer period is anticipated to commence on July 14, 2025, lasting for 25 business days, with completion expected in August 2025.
