Xinte Energy subsidiary Sunoasis receives RMB1bn capital injection

Xinte Energy (HKEX: 1799) announced that its subsidiary, TBEA Xinjiang Sunoasis Co., Ltd. ("Sunoasis"), will receive a RMB1 billion capital injection from ABC Financial Asset Investment Co. Ltd. The deal, formalized in a Capital Injection Agreement on June 18, 2025, will see approximately RMB471.7 million credited to the registered capital of Sunoasis and the remainder to its capital reserve. Upon completion, Xinte Energy's stake in Sunoasis will decrease from 99.49% to 91.26%, with CECEP Solar Energy holding 0.46% and ABC Financial holding 8.28%. The capital injection will primarily be used to repay Sunoasis' existing debts. The transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules. The shareholders' agreement includes provisions for ABC Financial's exit, including potential share issuance by Xinte or targeted capital reduction of Sunoasis. The injection is aimed at expanding Sunoasis' financing channels, lowering its gearing ratio, and supporting the growth of Xinte Energy’s new energy business.
