JD.com's Dada Nexus completes merger, delisting from Nasdaq

JD.com Inc (HKEX:9618) announced that Dada Nexus Limited completed its merger, effective June 16, 2025, after shareholder approval on June 10, 2025. The merger sees Dada Nexus delist from the Nasdaq Global Select Market, with trading ceasing after June 16, 2025. As a result of the merger, each ordinary share of Dada Nexus was cancelled in exchange for the right to receive USD 0.5 in cash without interest, unless it was held by the Reporting Persons, the Issuer itself, or shareholders dissenting the Merger. The Issuer has requested Nasdaq to file a Form 25 to notify the SEC of the delisting.
