SinoMab BioScience director passes away; resolution withdrawn

SinoMab BioScience Limited announced the death of Mr. Dylan Carlo Tinker on May 29, 2025. Mr. Tinker served as an independent non-executive director, a member of the audit committee, and a member of the nomination committee. As a result of his passing, the ordinary resolution numbered 2(d), concerning Mr. Tinker's re-election as an INED, will be withdrawn from the agenda of the Annual General Meeting scheduled for June 13, 2025. SinoMab BioScience is working to identify a candidate to fill the role on the nomination committee within three months to maintain compliance with Listing Rules. The Board extended its condolences to Mr. Tinker's family and acknowledged his valuable contributions to the Company.
