Haichang Ocean Park appoints independent financial advisor

Haichang Ocean Park Holdings Ltd. (HKEX:2255) announced the appointment of Somerley Capital Limited as the Independent Financial Adviser. This appointment relates to the Subscription, Specific Mandate, Whitewash Waiver and Increase in Authorised Share Capital as previously announced on June 2, 2025. Somerley Capital, licensed for dealing in securities and advising on corporate finance, will advise the Independent Board Committee and Independent Shareholders on the fairness and reasonableness of the Subscription terms and the Whitewash Waiver, particularly regarding the interests of the company and its shareholders. The Independent Board Committee approved this appointment, adhering to Rule 2.1 of the Takeovers Code. A letter of advice and recommendations from Somerley Capital will be included in a circular to be dispatched to shareholders.
