MicroPort CardioFlow to fully acquire MP CardioAdvent

** MicroPort CardioFlow Medtech Corporation (HKEX: 2160) announced a disclosable and connected transaction to acquire the remaining 49% equity interest in Shanghai MicroPort CardioAdvent Co., Ltd. for RMB170,863,000.00. The acquisition, agreed upon May 30, 2025, will make MP CardioAdvent a wholly-owned subsidiary, allowing MicroPort CardioFlow to fully capture the commercial benefits of MP CardioAdvent's AnchorMan® LAAC System and AnchorMan® LAAA System. The purchase consideration will be paid to MicroPort Sinica and Shanghai Zuoqing, the sellers, in installments over five years. Completion of the acquisition is conditional and subject to shareholder approval. The board considers the terms of the agreement to be fair and reasonable, and in the best interest of the company and its shareholders.
