Agile Group proposes auditor change from EY to Prism

Agile Group Holdings announced a proposed change of auditor, replacing Ernst & Young (EY) with Prism Hong Kong Limited. EY will retire upon expiration of its current term at the conclusion of the upcoming annual general meeting scheduled for June 12, 2025, due to a failure to reach a consensus on the audit fee for the financial year ending December 31, 2025. The Board has confirmed there are no other disagreements with EY regarding the retirement, save for a disclaimer of opinion related to going concern uncertainties. The Board will propose the appointment of Prism Hong Kong Limited as the new auditor at the AGM, with the appointment effective until the conclusion of the next annual general meeting.
