BYD proposes capital renewal, amends articles of association

BYD Company Limited (HKEX: 1211) has announced the proposed renewal of its registered capital and amendments to its articles of association, according to an announcement released March 17, 2025. The changes come after the completion of a placement of 129.8 million new H Shares on March 11, 2025. This placement increased the company's total issued shares from 2,909,265,855 to 3,039,065,855, comprising 1,811,265,855 A Shares and 1,227,800,000 H Shares, increasing registered capital from RMB2,909,265,855 to RMB3,039,065,855. The Board approved the amendments on March 17th, and these changes will be registered with the relevant authorities in the PRC. The company's A shares represent 59.60% of the total ordinary shares with H shares making up 40.40%.
