Vinacomin Machinery schedules EGM for board changes, new member election

Vinacomin - Machinery Joint Stock Company (VINACOMIN) has announced an Extraordinary General Meeting (EGM) of shareholders for 9:00 AM on Tuesday, November 25, 2025, at its headquarters in Quang Ninh Province. The meeting's agenda includes the discussion and approval of changes to the board of directors, specifically the dismissal and election of new members. Shareholders are requested to register attendance or submit proxy forms by 4:00 PM on November 20, 2025.

The EGM will also cover the approval of an additional member to the board for the 2023-2028 term, with a voting process allowing shareholders to cast votes for candidates. The company emphasizes a fair and transparent election process, with candidates requiring specific qualifications and experience. Decisions made at the EGM will be legally binding immediately upon shareholder approval.

According to the official notice, Mr. Nguyen Trong Tot, a current board member, has submitted his resignation effective September 30, 2025, to assume new responsibilities. The board proposes his dismissal and will facilitate the election of a replacement. The voting will proceed by secret ballot, where each share represents one vote, and decisions will require approval from at least 65% of the total voting shares present at the meeting.
