LVA Trading and Services fined over disclosure and related-party transaction violations

LVA Trading and Services JSC has been fined a total of VND 227,500,000 for administrative violations. Penalties include VND 60,000,000 for late information disclosure, VND 55,000,000 for incomplete information disclosure, and VND 112,500,000 for violations concerning related-party transactions involving shareholders, management, and associated entities.

The company failed to disclose two related parties—Long An Book and School Equipment JSC (a subsidiary) and Intercons Construction and Investment Co., Ltd (an associated entity of internal personnel)—in its 6-month 2025 corporate governance report. Additionally, a VND 4,445,454,545 transaction with Intercons Construction and Investment Co., Ltd in the first half of 2025 was not disclosed in the same report.

Furthermore, LVA Trading and Services JSC conducted a VND 14,836,476,019 transaction with Long An Book and School Equipment JSC in 2024. This transaction exceeded 35% of its total assets from the 2023 balance sheet, without obtaining shareholder approval at its annual or extraordinary general meetings. The company has 10 days to pay the fine to the State Treasury or face enforcement.
