Sunshine Group cancels share transfer, secures $599bn loan from subsidiary

Sunshine Group JSC has officially reversed its decision to transfer capital contributions in Dynamic Innovation Co., Ltd. to Unicloud Technology Group JSC. This move, detailed in a resolution dated August 27, 2025, effectively cancels an earlier directive from August 23, 2025.

Concurrently, Sunshine Group has approved a loan of VND 599,000,000,000 from Unicloud Technology Group JSC. The loan carries an annual interest rate of 3% and has a term of 12 months, intended to support the company's production, business, and investment activities. Unicloud has the option, but not the obligation, to convert a portion of the loan into capital contributions in Dynamic Innovation Co., Ltd., which currently amounts to VND 684,000,000,000, representing 18.65% of DIC's charter capital. The transfer value would not be less than VND 750,000,000,000.

The board of directors has authorized the chairman and/or general director to execute all necessary actions for these transactions, including negotiations and contract signings. This resolution is effective from its signing date.
