Shanghai Pharma amends articles, cancels supervisory board

Shanghai Pharmaceuticals Holding Co., Ltd. has revised its Articles of Association, effective December 2025. This comprehensive revision was approved during the company's second extraordinary general meeting in 2025, held on December 9. Key amendments include the cancellation of the Supervisory Board and associated revisions to the Articles of Association and its appendices.

Shareholders at the meeting also approved revisions to the "Implementation Rules for the Cumulative Voting System" and the "Management Measures for Raised Funds." Additionally, a semi-annual profit distribution plan for 2025 was approved. The first item, pertaining to the cancellation of the Supervisory Board and revisions to the Articles of Association, was passed as a special resolution, securing over two-thirds of the total valid voting shares. The meeting, held at the company's Shanghai headquarters, saw participation from A-share and H-share shareholders, with a total of 2,252,731,543 voting shares represented.
